Affiliate Program Terms & Conditions

These Affiliate Program Terms & Conditions (these "Terms") create a legal agreement between Flashquotes, LLC. ("Flashquotes," "We," or "Us") and you, an individual or entity ("You"). THESE TERMS ARE EFFECTIVE AS OF THE DATE YOU FIRST PARTICIPATE IN THE AFFILIATE PROGRAM (DEFINED BELOW).

These Terms are part of and incorporated into our Terms of Service. Capitalized terms not defined herein are as defined in our Terms of Service. In the event of a conflict between these Terms and any other agreements between You and Flashquotes, these Terms will prevail with respect to the Affiliate Program.

You have been invited to participate in our invitation-only affiliate program to refer prospective users to our platform (each, a "Referral"), as described in these Terms (the "Affiliate Program"). Accordingly, You and Flashquotes agree as follows:

1. Eligibility

Participation in the Affiliate Program is by invitation only. You may participate if You have been invited by Flashquotes and are in good standing (i.e., Your account, if applicable, is active and not in violation of our Terms of Service). Flashquotes reserves the right to revoke participation at any time, with or without cause.

2. Affiliate Program Structure

How It Works:

You will receive a unique affiliate link or code ("Affiliate Link") to share with prospective users. You may promote Flashquotes through channels approved by Flashquotes in writing.

Commission Structure:

Affiliates earn a fifteen percent (15%) commission on the Net Revenue (defined as platform fees paid by the Qualified Referral's clients, less refunds, chargebacks, or credits) generated by their Qualified Referrals during their first twelve (12) months as a Flashquotes user.

Qualified Referral Definition:

A "Qualified Referral" is an individual or business who:

Signs up for Flashquotes using Your Affiliate Link;
Has not previously had an account with Flashquotes;
Completes at least one paid booking through the Flashquotes platform; and
Is not rejected by Flashquotes in its reasonable discretion.

Payment Terms:

Commission payments will be made according to the payment schedule outlined in Your affiliate agreement. Payments are subject to minimum thresholds and will be processed via the payment method specified in Your agreement.

3. Restrictions

No Self-Referrals:

You may not refer Yourself, Your own business, or any entity You control to earn commissions. Self-referrals will be disqualified, and attempts may result in removal from the Affiliate Program and forfeiture of all earned commissions.

Approved Channels:

You may only promote Flashquotes through channels approved by Flashquotes in writing. You may not bid on Flashquotes' branded search terms, register domains containing our trademarks, or use misleading claims. All promotional materials must be approved by Flashquotes prior to use.

Fraud Prevention:

Flashquotes reserves the right to reject any Referral or withhold commissions if We suspect fraudulent, abusive, or dishonest activity (e.g., creating fake accounts to generate bookings, artificially inflating booking values, or any other manipulation of the program).

Confidentiality:

The terms of Your participation in the Affiliate Program, including commission rates and performance metrics, are confidential and may not be disclosed to third parties without Flashquotes' prior written consent.

4. Program Administration

Tracking:

Flashquotes will track Qualified Referrals via Your Affiliate Link and provide You with access to reporting through Your affiliate dashboard or periodic reports.

Payout Timing:

Commission payments will be processed according to the schedule outlined in Your affiliate agreement, typically within thirty (30) days following the end of each calendar month, subject to minimum payout thresholds.

Disputes:

You may raise questions or disputes about commissions within ten (10) business days of receiving Your payment report. Unresolved disputes will be addressed in Flashquotes' reasonable discretion. All commission calculations made by Flashquotes are final and binding.

5. Termination and Modification

Our Rights:

Flashquotes reserves the right, in its sole and absolute discretion, to:

Remove You from the Affiliate Program at any time, with or without cause;
Terminate, modify, suspend or end the Affiliate Program, in whole or in part, with or without notice;
Modify commission rates or program terms with thirty (30) days notice; and
Limit the number of referrals per affiliate or total participants.

Effect of Termination:

If You are removed or the Affiliate Program ends, You will immediately cease promoting Flashquotes and remove all promotional materials. Commissions earned prior to termination for Qualified Referrals who have completed paid bookings will be paid according to the normal payment schedule, but any pending or future commissions may be forfeited at Flashquotes' discretion.

Your Rights:

You may terminate Your participation in the Affiliate Program at any time by providing written notice to Flashquotes. Upon termination, the same conditions as outlined above will apply.

6. Relationship

You are an independent contractor, not an employee, agent, or partner of Flashquotes. You have no authority to act for or bind Flashquotes. You are solely responsible for all taxes, insurance, and other obligations related to Your participation in the Affiliate Program.

7. Intellectual Property

Flashquotes grants You a limited, non-exclusive, non-transferable, revocable license to use Flashquotes' trademarks, logos, and approved marketing materials solely for the purpose of promoting Flashquotes through approved channels. All intellectual property rights remain with Flashquotes. You may not modify any provided materials without prior written approval.

8. Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to conflict of laws principles. Any disputes will be resolved exclusively in the state or federal courts of Denver County, Colorado.

9. Miscellaneous

These Terms, together with our Terms of Service and any separate affiliate agreement, represent the entire agreement between You and Flashquotes regarding the Affiliate Program.

If any provision is found unenforceable, the remaining provisions will remain in effect.

Changes to these Terms will be effective upon thirty (30) days written notice, which may be provided via email or posting to our website. Your continued participation in the Affiliate Program after such notice constitutes acceptance of the modified Terms.
