Flashquotes Affiliate Program

Overview

These Affiliate Program Terms & Conditions (these "Terms") create a legal agreement between Flashquotes, LLC ("Flashquotes," "We," or "Us") and you, an individual or entity ("You"). THESE TERMS ARE EFFECTIVE AS OF THE DATE YOU FIRST PARTICIPATE IN THE AFFILIATE PROGRAM.

These Terms are part of and incorporated into our Terms of Service. Capitalized terms not defined herein are as defined in our Terms of Service. In the event of a conflict between these Terms and any other agreements between You and Flashquotes, these Terms will prevail with respect to the Affiliate Program.

1. Program Tiers

Flashquotes offers two affiliate program tiers with different commission structures and eligibility requirements.

1.1 Member Referral Program

The Member Referral Program is available to all Flashquotes customers in good standing.

Commission Structure:

• Base Commission: $100 per Qualified Referral
• Promotion Bonus: At 5 Qualified Referrals, earn a one-time $200 bonus and automatic promotion to the Educator Program

Eligibility:

• Active Flashquotes account in good standing
• No minimum referral requirements to maintain Member eligibility

Automatic Promotion Path:

Upon reaching five (5) lifetime Qualified Referrals, Members receive a $200 bonus and are automatically promoted to the Educator Program, where they earn higher per-referral rates ($200-$300). Members must maintain five (5) Qualified Referrals per calendar year to retain Educator status; failure to do so results in reversion to the Member tier.

1.2 Educator Program

The Educator Program is designed for content creators, coaches, consultants, and influencers who actively promote Flashquotes to their audiences.

Commission Structure:

Note: Educator Program does not include milestone bonuses (higher base rates replace milestone incentives). Your per-referral rate is determined at the time a referral qualifies, based on your total Qualified Referrals in the trailing 12 months. Crossing into a higher tier affects only referrals that qualify after you reach that tier, and does not change payouts for earlier referrals.

Example: If you have 12 Qualified Referrals in the trailing 12 months and your 13th qualifies, that 13th referral pays $225 under the 11-25 tier. Your first 10 referrals remain at $200.

The tier table above reflects current standard rates and may be updated pursuant to Section 2 (Program Rate Adjustments).

Eligibility Requirements:

• Application and approval by Flashquotes
• Does NOT require active Flashquotes subscription (unlike Member Referral Program)
• Maintain a minimum of five (5) Qualified Referrals per calendar year to retain Educator status
• Active content creation or community presence in the mobile event, catering, or related industries
• Compliance with Flashquotes' brand guidelines

Educator Status Review:

Educator status is reviewed on a rolling basis. Affiliates whose calendar-year Qualified Referral count falls below five (5) will be transitioned to the Member Referral Program. If you are reverted to the Member Referral Program, you may regain Educator status by again achieving five (5) Qualified Referrals in a calendar year. Re-promotion is automatic and does not require a new application.

2. Program Rate Adjustments

2.1 Quarterly Review Clause

Flashquotes reserves the right to adjust commission payout rates for new referrals with sixty (60) days' written notice. Rate adjustments will be reviewed quarterly and communicated via email to all active affiliates.

Grandfathering Provision:

• Any rate adjustments apply only to new referrals made after the effective date of the change
• Existing qualified referrals that have already met qualification criteria are grandfathered at the commission rate in effect when they qualified
• Pending referrals (signed up but not yet qualified) will earn the rate in effect at the time of qualification

Example: If commission rates are adjusted effective July 1, 2026:

• A referral who qualified on June 15, 2026 earns the pre-adjustment rate
• A referral who signs up June 25 but qualifies July 10 earns the new rate
• All new referrals from July 1 onward earn the new rate

This clause ensures Flashquotes can respond to market conditions while protecting affiliates' earned commissions.

3. Qualified Referral Definition

A "Qualified Referral" is an individual or business who meets the base criteria AND at least one qualification path:

Base Criteria (required for all paths)

1. Attribution: Signs up for Flashquotes using Your unique Affiliate Link or Code;

2. New Customer: Has not previously had an account with Flashquotes; and

3. Good Standing: Is not rejected by Flashquotes in its reasonable discretion (e.g., for fraud, terms violations, or abuse).

Qualification Path A: Payment Volume

In addition to the base criteria, the referral must:

4a. Active Account: Maintain an active Flashquotes account in good standing for at least sixty (60) consecutive days from account creation; AND

5a. Payment Threshold: Receive a cumulative total of at least five hundred dollars ($500) in on-platform invoice payments within ninety (90) days of account creation.

The referral qualifies on the date the later of criteria 4a and 5a is satisfied.

Qualification Path B: Paid Subscription

In addition to the base criteria, the referral must:

4b. Paid Subscription: Subscribe to a Flashquotes Plus or Pro plan; AND

5b. Sustained Subscription: Maintain an active, paid subscription for three (3) consecutive months after any free trial period expires.

The referral qualifies on the date the third consecutive paid month is completed. Free trial periods (including the 60-day referee incentive trial) do not count toward the three-month requirement.

Important Clarifications

• A referral need only satisfy ONE qualification path (Path A or Path B) to become a Qualified Referral. If both paths are met, the referral qualifies on whichever date is earlier.
• Path A specifics: Only on-platform payments processed through Flashquotes with application fees count toward the $500 threshold. Manually recorded payments, offline payments, and payments without application fees do not qualify. Refunded or charged-back payments are deducted from the cumulative total.
• Path B specifics: The three-month paid subscription period begins on the date of the first paid invoice after any trial period ends. Subscription downgrades from Pro to Plus still count as paid months. Downgrades to the Free plan reset the consecutive month counter.
• Trials, free accounts, and accounts that only receive refunded or disputed payments do not qualify under either path.
• The qualification window for both paths is ninety (90) days from account creation. If neither path is satisfied within 90 days, attribution expires per Section 5.4.

4. Eligibility

4.1 Age Requirement

You must be at least eighteen (18) years of age to participate in the Affiliate Program. If You are under 18, You are not authorized to participate and have no right to receive any commissions.

4.2 Prohibited Sites and Content

You may not participate in the Affiliate Program if Your site, content, or promotional channels:

• Promote sexually explicit, violent, discriminatory, or illegal content;
• Incorporate materials that infringe on any copyright, trademark, or intellectual property rights;
• Include "Flashquotes" or variations or misspellings thereof in a domain name;
• Are designed or presented in a manner that resembles the Flashquotes website, application, or branding in a way that could mislead users into believing Your site is operated by or affiliated with Flashquotes; or
• Contain software or mechanisms that could divert commissions from other affiliates.

5. Attribution and Tracking

5.1 Affiliate Link

You will receive a unique affiliate link or code ("Affiliate Link") to share with prospective users. All referrals must be attributed through this link.

5.2 Cookie Duration

Affiliate tracking uses a thirty (30) day cookie. If a prospective user clicks Your Affiliate Link but does not sign up within 30 days, attribution expires.

5.3 Attribution Lock

Once a prospect creates an account, attribution to Your Affiliate Link is locked for a period of ninety (90) days (the qualification window), regardless of subsequent link clicks from other affiliates.

5.4 Attribution Expiry

If a referred prospect does not meet all Qualified Referral criteria within ninety (90) days of account creation, attribution expires. After expiry, the prospect may be attributed to a new affiliate link if they engage with one.

5.5 Manual Code Entry

If a prospect signs up by entering Your Affiliate Code in the designated signup field (rather than clicking a link), attribution will be assigned to You regardless of cookie status, subject to the same qualification requirements.

5.6 First-Click Attribution

If a prospect clicks multiple affiliate links before creating an account, attribution is assigned to the first affiliate link clicked within the 30-day window.

6. Payment Terms

6.1 Payout Timing

Commission payments are processed monthly, within thirty (30) days following the end of each calendar month. Payments are made only for referrals who have met the Qualified Referral criteria by the end of the month.

6.2 Minimum Payout Threshold

The minimum payout threshold is fifty dollars ($50). If Your earned commissions do not meet this threshold, payment will be deferred until the threshold is met.

6.3 Payment Methods

Payments will be processed via the payment method on file in Your affiliate account (PayPal, bank transfer, or account credit at Your election).

6.4 Tax Responsibility

You are solely responsible for all applicable taxes on commission payments. Flashquotes may require tax documentation (e.g., W-9 for U.S. affiliates) before processing payments exceeding $600 in a calendar year.

7. Clawback Provisions

7.1 Refund Clawback

If a Qualified Referral receives a full refund or successfully disputes their qualifying payment(s) within ninety (90) days of that payment, the associated commission may be clawed back (deducted from future payments).

7.2 Account Termination Clawback

If a Qualified Referral's account is terminated for fraud, abuse, or violation of Flashquotes' Terms of Service within ninety (90) days of qualification, the associated commission may be clawed back.

7.3 Fraud Forfeiture

If Flashquotes determines, in its sole discretion, that You have engaged in fraud, misrepresentation, or abuse of the Affiliate Program (including but not limited to self-referrals, fake accounts, click fraud, or cookie stuffing), Flashquotes may immediately terminate Your participation and forfeit ALL unpaid commissions, including commissions for otherwise legitimate referrals. Flashquotes shall not be liable to You for any amounts in connection with referrals made during or prior to fraudulent activity.

7.4 Clawback Notification

Flashquotes will notify You of any clawback deductions in Your monthly payment report. Disputes regarding clawbacks must be raised within ten (10) business days of notification.

8. Restrictions

8.1 No Self-Referrals

You may not refer Yourself, Your own business, or any entity You control or have a financial interest in. Self-referrals will be disqualified, and attempts may result in removal from the Affiliate Program and forfeiture of all earned commissions.

8.2 Prohibited Promotion Methods

You may NOT:

• Bid on Flashquotes' branded search terms (including "Flashquotes," "Flash Quotes," or variations) in paid advertising;
• Register domains containing Flashquotes' trademarks or confusingly similar variations;
• Use misleading claims, fake reviews, or deceptive advertising;
• Send unsolicited bulk email (spam) promoting Flashquotes;
• Make false or unauthorized claims about Flashquotes' features, pricing, or capabilities; or
• Engage in cookie stuffing, click fraud, or artificial traffic generation.

8.3 Approved Promotional Content

All promotional materials (ads, landing pages, email templates) must comply with Flashquotes' brand guidelines. Flashquotes may request review of promotional materials and require modifications or removal of non-compliant content.

8.4 No Earnings Claims

You may not guarantee, imply, or represent specific earnings amounts when promoting the Affiliate Program or Flashquotes. Statements such as "earn $10,000/month with Flashquotes" or "guaranteed income" are strictly prohibited. You may share Your own verified results (e.g., "I earned $X from the program") provided they are accurate, truthful, and accompanied by appropriate disclaimers that individual results may vary.

8.5 Disclosure Requirements

You must clearly disclose Your affiliate relationship in all promotional content, in compliance with FTC guidelines and all applicable laws in Your jurisdiction (including but not limited to ASA guidelines in the United Kingdom and applicable EU regulations). Example disclosure: "I may earn a commission if you sign up through my link."

9. Intellectual Property

9.1 License Grant

Flashquotes grants You a limited, non-exclusive, non-transferable, revocable license to use Flashquotes' trademarks, logos, and approved marketing materials solely for promoting Flashquotes through approved channels during Your participation in the Affiliate Program.

9.2 Ownership

All intellectual property rights in Flashquotes' trademarks, logos, and materials remain the exclusive property of Flashquotes. This license terminates immediately upon Your removal from the Affiliate Program.

9.3 Modification Prohibited

You may not modify, adapt, or create derivative works from Flashquotes' marketing materials without prior written approval.

10. Program Administration

10.1 Reporting

You will have access to referral tracking and commission reports through Your affiliate dashboard or via periodic reports from Flashquotes.

10.2 Disputes

You may raise questions or disputes about commissions within thirty (30) days of receiving Your payment report. Claims not raised within this period are waived. Flashquotes will investigate disputes in good faith and will not withhold commissions arbitrarily. While final commission calculations are at Flashquotes' reasonable discretion, Flashquotes will act reasonably and provide clear explanations for any disputed amounts.

10.3 Audit Rights

Flashquotes reserves the right to audit affiliate activity and may request documentation supporting Your promotional methods or traffic sources.

11. Termination and Modification

11.1 Flashquotes' Rights

Flashquotes reserves the right, in its sole and absolute discretion, to:

• Remove You from the Affiliate Program at any time, with or without cause;
• Terminate, modify, suspend, or discontinue the Affiliate Program, in whole or in part, with or without notice;
• Modify program terms or tier structures with thirty (30) days' notice (commission rate adjustments are subject to the sixty (60) days' notice requirement in Section 2); and
• Limit the number of referrals, cap total commissions, or restrict participation.

11.2 Your Rights

You may terminate Your participation in the Affiliate Program at any time by providing written notice to Flashquotes at hello@flashquotes.com.

11.3 Effect of Termination

Upon termination (by either party):

• You must immediately cease all promotion of Flashquotes and remove promotional materials;
• Commissions earned for Qualified Referrals prior to termination will be paid according to the normal payment schedule;
• Pending referrals who have not yet met qualification criteria will not earn commissions; and
• Any commissions subject to clawback provisions remain subject to those provisions.

12. Relationship of Parties

You are an independent contractor, not an employee, agent, partner, or joint venturer of Flashquotes. You have no authority to act for or bind Flashquotes in any manner. You are solely responsible for all taxes, insurance, and other obligations related to Your participation in the Affiliate Program.

13. Confidentiality

The specific terms of Your participation in the Affiliate Program, including commission rates, performance metrics, and any non-public program details, are confidential and may not be disclosed to third parties without Flashquotes' prior written consent.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLASHQUOTES' TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. FLASHQUOTES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

15. Indemnification

You agree to indemnify, defend, and hold harmless Flashquotes and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from Your breach of these Terms, Your promotional activities, or Your violation of any law or third-party rights.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Colorado, without regard to conflict of laws principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Denver County, Colorado. You consent to personal jurisdiction in these courts.

17. Entire Agreement and Amendments

17.1 Entire Agreement

These Terms, together with our Terms of Service and any separate written affiliate agreement, constitute the entire agreement between You and Flashquotes regarding the Affiliate Program, superseding all prior agreements.

17.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

17.3 Amendments

Flashquotes may amend these Terms at any time. Material changes will be communicated with at least thirty (30) days' notice via email or posting to our website. Your continued participation in the Affiliate Program after the effective date of any amendment constitutes acceptance of the modified Terms.
